Our total liability arising out of these Terms or the Service is limited to the fees paid by you in the past 12 months or USD $100, whichever is greater.

13. Indemnification

You agree to indemnify and hold harmless Collelis Inc., its affiliates, and employees from any claims, damages, or expenses (including attorney's fees) arising out of your use of the Service, violation of these Terms, or infringement of third-party rights.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Japan, without regard to its conflict of laws principles. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the Fukuoka District Court in Japan.

15. General Provisions

  • Force Majeure: We are not liable for delays or failures due to events beyond our control, such as natural disasters or technical interruptions.
  • Assignment: You may not assign these Terms without our written consent. We may assign these Terms without restriction.
  • Severability: If any provision is found invalid, the remaining provisions shall remain enforceable.
